Mindreks Metall OÜ general terms and conditions of sale

Effective from 15 September 2026

1. General provisions

1.1. These General Terms and Conditions of Sale (hereinafter the “Terms and Conditions”) govern sales transactions for goods between Mindreks Metall OÜ and the buyer.
1.2. The seller is Mindreks Metall OÜ, registry code 12709100, VAT No. EE101738640, address Tehase 2, Ahja, Põlva Parish, 63710 Põlva County, Estonia; e-mail info@mindreks.ee; telephone +372 55539162; website www.mindreksmetall.ee.
1.3. These Terms and Conditions apply to purchases made through the Mindreks Metall OÜ online store as well as to sales transactions concluded by e-mail, telephone, quotation, order form or any other sales channel.
1.4. These Terms and Conditions apply both to consumers (B2C) and to legal persons and buyers acting in the course of their economic or professional activities (B2B), subject to the specific provisions set out herein.
1.5. If the terms of a specific quotation, order, order form, contract or other written agreement differ from these Terms and Conditions, the separately agreed terms of the specific transaction shall prevail to that extent.
1.6. By placing an order, accepting a quotation or order form, or paying for the goods, the buyer confirms that they have read and accepted these Terms and Conditions.

2. Products and prices

2.1. Mindreks Metall OÜ sells standard products and manufactures custom-made products according to customer orders.
2.2. Prices displayed in the online store include VAT unless otherwise stated next to the product or in the quotation.
2.3. Transport and delivery costs are generally not included in the product price and are added according to the delivery destination, dimensions and weight of the goods, and the selected method of transport.
2.4. B2B quotations may show prices excluding VAT if this is clearly stated in the quotation.
2.5. Mindreks Metall OÜ has the right to change product prices. Price changes do not affect orders already confirmed before the price change.
2.6. If an obviously incorrect price is displayed on the website, in a quotation or other sales material due to a technical or human error, Mindreks Metall OÜ is not obliged to sell the product at the erroneous price. The buyer will be informed of the error as soon as possible and may confirm the order at the correct price or cancel the order. Any amount already paid will be refunded if the order is cancelled.

3. Placing an order and conclusion of the sales contract

3.1. In the online store, the buyer may select standard products, add them to the shopping cart, choose the delivery method and pay using the payment methods offered by the online store.
3.2. An online-store order is deemed confirmed once the order has been confirmed in accordance with the online-store ordering process.
3.3. Outside the online store, an order may be based on a quotation from Mindreks Metall OÜ, a purchase order from the buyer, an order form confirmed by the parties, e-mail correspondence or another agreement reproducible in writing.
3.4. If an order includes a custom-made product, Section 5 of these Terms and Conditions also applies.

4. Payment terms

4.1. A consumer buyer (B2C) pays for the goods in advance unless otherwise agreed in writing.
4.2. For business customers (B2B), payment is made in advance or on credit terms according to the agreement between Mindreks Metall OÜ and the buyer.
4.3. Sales on credit terms are available only if Mindreks Metall OÜ has approved credit terms for the buyer or the parties have entered into a credit agreement.
4.4. Mindreks Metall OÜ has the right to refuse credit sales or require partial or full advance payment before releasing the goods or commencing production.
4.5. In B2B sales, title to the goods remains with Mindreks Metall OÜ until the goods and all amounts related to their sale have been paid in full.
4.6. In the event of late payment, Mindreks Metall OÜ has the right to charge default interest at the statutory rate. At the time these Terms and Conditions enter into force, the statutory default interest corresponds to approximately 0.0285% of the outstanding amount for each calendar day of delay. If the statutory default interest rate changes, the statutory rate applicable during the relevant period shall apply.

5. Custom-made products

5.1. A custom-made product is a product manufactured according to the buyer’s specific instructions, drawings, dimensions, technical parameters or other individual specifications and which differs from a standard product of Mindreks Metall OÜ.
5.2. Custom-made products cannot be purchased through the Mindreks Metall OÜ online store. A separate quotation, order form or other order confirmation document is prepared for custom-made products.
5.3. A custom order becomes the basis for production by Mindreks Metall OÜ after the buyer has approved the order form, drawing or other agreed technical specification and the agreed advance payment has been received.
5.4. The buyer is responsible for the accuracy of dimensions, drawings, technical data and other source information supplied by the buyer.
5.5. Before confirming a custom order, the buyer must verify the product dimensions, connection locations, volume, material, working pressure, temperature and other technical parameters relevant to the order.
5.6. Changes after confirmation of a custom order are possible only with the consent of Mindreks Metall OÜ. A change may affect the product price and delivery time.
5.7. If production of a custom order has commenced following the buyer’s confirmation, the buyer has no right to cancel the order unilaterally without charge. In the event of cancellation, Mindreks Metall OÜ has the right to claim reimbursement of reasonable costs already incurred in fulfilling the order.
5.8. For a custom-made product manufactured according to the individual requirements of a consumer, the 14-day right of withdrawal does not apply in cases provided by law.

6. Delivery time and delivery

6.1. The usual delivery time for standard products in stock within Estonia is 2–3 working days.
6.2. The usual delivery time for standard products in stock for export orders is 3–7 working days.
6.3. Delivery time is calculated from confirmation of the order and, where applicable, receipt of the agreed advance payment.
6.4. The delivery time for a custom-made product is agreed separately for each order.
6.5. Delivery times are estimates unless expressly stated otherwise in the quotation or order confirmation.
6.6. Mindreks Metall OÜ is not liable for delivery delays to the extent that the delay is caused by the carrier, supply-chain disruption, force majeure or another circumstance beyond the reasonable control of Mindreks Metall OÜ.
6.7. Transport costs are borne by the buyer unless otherwise agreed in writing.
6.8. By agreement, the buyer may collect the goods from Mindreks Metall OÜ.

7. Acceptance of goods and transport damage

7.1. Upon receipt, the buyer must inspect the visible condition of the goods and their packaging.
7.2. In the event of visible transport damage, significant damage to the packaging or another visible defect, this should, where possible, be recorded immediately on the carrier’s transport document and Mindreks Metall OÜ should be notified as soon as possible.
7.3. Where possible, photographs of the damage should be taken before removing the  packaging and after the packaging has been removed.
7.4. A B2B buyer must notify Mindreks Metall OÜ of visible damage or a shortage in quantity as soon as possible after receiving the goods.
7.5. This section does not restrict the statutory rights of a consumer buyer.

8. Consumer right of withdrawal

8.1. A consumer who purchases a standard product by means of distance communication, including through the Mindreks Metall OÜ online store, has the right to withdraw from the sales contract without giving a reason within 14 days of receiving the goods, unless otherwise provided by law.
8.2. To exercise the right of withdrawal, the consumer must submit an unequivocal withdrawal notice to Mindreks Metall OÜ at info@mindreks.ee.
8.3. The consumer must return the goods within 14 days after submitting the withdrawal notice.
8.4. The direct costs of returning the goods are borne by the buyer, except where the reason for the return is a defect for which Mindreks Metall OÜ is responsible or delivery of the wrong product.
8.5. Due to the dimensions and weight of Mindreks Metall OÜ products, returns may require freight transport or special transport and the return cost may therefore be significantly higher than the cost of an ordinary postal shipment.
8.6. The consumer may handle the product only to the extent necessary to establish its nature, characteristics and functioning. If the value of the product has decreased due to the consumer’s actions, Mindreks Metall OÜ has the right to claim compensation for the decrease in value to the extent permitted by law.
8.7. In the event of withdrawal, Mindreks Metall OÜ refunds payments received from the consumer in accordance with the procedure and within the time limits prescribed by law. Mindreks Metall OÜ is not required to reimburse additional costs resulting from the consumer choosing a delivery method other than the least expensive standard delivery method offered by Mindreks Metall OÜ.
8.8. Mindreks Metall OÜ may withhold the refund until it has received the returned goods or until the consumer has provided evidence that the goods have been sent back.
8.9. The statutory 14-day right of withdrawal does not apply, among other cases, to a custom-made product manufactured according to the buyer’s individual requirements or specifications.
8.10. The 14-day consumer right of withdrawal set out in this section does not apply to B2B buyers.

9. Mindreks Metall OÜ 5-year warranty

9.1. Mindreks Metall OÜ provides a 5-year manufacturer’s warranty for products manufactured by Mindreks Metall OÜ.
9.2. The warranty applies to the entire product manufactured by Mindreks Metall OÜ and covers defects in materials and workmanship that become apparent during the warranty period.
9.3. The warranty period is calculated from the date the product is handed over to the buyer.
9.4. The warranty is conditional upon the product having been transported, stored, installed, used and maintained in accordance with the instructions of Mindreks Metall OÜ, the product’s technical parameters and its intended purpose.
9.5. The warranty does not cover defects or damage caused by: a) incorrect, inadequate or unprofessional installation; b) use of the product for a purpose other than its intended purpose; c) exceeding the maximum working pressure stated on the product or in the technical documentation; d) pressure surges or other hydraulic loads exceeding permitted operating conditions; e) exceeding the permitted temperature range; f) freezing; g) use of unsuitable, aggressive or non-compliant water, heat-transfer fluid or other liquid; h) corrosion caused by unsuitable water chemistry, environmental conditions, electrical or galvanic effects, or other circumstances beyond the manufacturer’s control; i) external mechanical damage, impact, dropping, deformation or other external load; j) forces or stresses transferred to the product from inadequately supported pipework or other connected equipment; k) unauthorised modification, welding, drilling, repair or other alteration of the product without the prior written consent of Mindreks Metall OÜ; l) use of the product in a system that does not comply with applicable requirements or the product’s technical conditions; m) incorrect storage or keeping the product under conditions that may damage it; n) an act or omission of the buyer, installer, user or a third party; o) force majeure or another circumstance beyond the control of Mindreks Metall OÜ.
9.6. When submitting a warranty claim, the buyer must provide at least proof of purchase or delivery, information necessary to identify the product, a description of the defect and, where possible, photographs or other evidence of the defect.
9.7. A warranty issue must be reported to Mindreks Metall OÜ at info@mindreks.ee as soon as possible after the defect is discovered.
9.8. Before accepting a warranty claim, Mindreks Metall OÜ has the right to inspect the product or request additional information necessary to determine the cause of the defect.
9.9. If the defect is covered by the warranty, Mindreks Metall OÜ will determine, depending on the circumstances, whether the product or the defective part will be repaired or replaced, taking into account the buyer’s rights under applicable law.
9.10. The warranty period for a product repaired or replaced under warranty does not restart but continues until the end of the original warranty period, unless mandatory law provides otherwise.
9.11. The warranty does not limit or exclude the statutory rights of a consumer buyer.
9.12. Under the warranty, Mindreks Metall OÜ bears only reasonable costs directly related to inspecting, repairing or replacing the product or defective part covered by the warranty, to the extent that the obligation to bear such costs arises from the warranty terms or applicable law. The warranty does not cover costs arising from the location or method of installation of the product or from providing access to it, including the costs of removing, dismantling, modifying, restoring or reinstalling pipework, equipment, furniture, walls, floors, ceilings, doors, openings, insulation or other building structures, unless applicable law requires such costs to be reimbursed. The buyer is responsible for ensuring that the product is installed in a manner and location that permits reasonable access for inspection, maintenance and repair and, where necessary, removal or replacement. This clause does not restrict the statutory rights of a consumer buyer.

10. Claims and defective goods

10.1. The buyer must notify Mindreks Metall OÜ of a defect as soon as possible after discovering it by e-mail to info@mindreks.ee.
10.2. The notification should, where possible, state the order or invoice number, product name and serial number, a description of the defect, when the defect appeared, and include photographs or other relevant information.
10.3. In addition to the 5-year warranty provided under these Terms and Conditions, a consumer buyer has all rights arising from Estonian law.
10.4. Mindreks Metall OÜ responds to a consumer’s written complaint within 15 days.
10.5. If the defect falls within the responsibility of Mindreks Metall OÜ, the claim will be resolved in accordance with the law and these Terms and Conditions.
10.6. If inspection establishes that the defect was caused by a circumstance excluded from the warranty or another cause outside the responsibility of Mindreks Metall OÜ, reasonable inspection, transport, labour and other costs may be charged to a B2B buyer.

11. Special terms for B2B sales

11.1. Consumer-specific rights arising from consumer-protection legislation, including the 14-day right of withdrawal, do not apply to B2B transactions.
11.2. Before confirming the order, the B2B buyer is responsible for ensuring that the ordered product is suitable for the buyer’s intended system and use.
11.3. If a B2B buyer provides Mindreks Metall OÜ with drawings, dimensions or other technical source information for production, the buyer is responsible for their accuracy and suitability.
11.4. The liability of Mindreks Metall OÜ towards a B2B buyer is limited to direct financial loss to the extent such limitation is permitted by law.
11.5. In B2B transactions, Mindreks Metall OÜ is not liable for loss of profit, production downtime, loss of use, third-party claims or other indirect or consequential loss, except where such exclusion of liability is not permitted by law.

12. Force majeure

12.1. Mindreks Metall OÜ is not liable for a breach of obligation or delay in performance if caused by a circumstance that Mindreks Metall OÜ could not influence and could not reasonably have foreseen or avoided.
12.2. Such circumstances may include, among others, natural disasters, fire, war, strikes, epidemics, governmental restrictions, energy or transport disruptions, significant shortages or supply disruptions of raw materials or components, or other comparable circumstances.
12.3. In the event of force majeure, the time for performance is extended at least by the duration of the impediment.

13. Processing of personal data

13.1. Mindreks Metall OÜ processes the buyer’s personal data for the purposes of fulfilling orders, delivering goods, customer communication, fulfilling accounting obligations and other purposes arising from applicable law.
13.2. More detailed terms for processing personal data are set out in the privacy policy of Mindreks Metall OÜ.

14. Applicable law and dispute resolution

14.1. Sales contracts and these Terms and Conditions are governed by the laws of the Republic of Estonia, subject to any mandatory rights applicable to consumers.
14.2. The parties shall first attempt to resolve disputes through negotiations.
14.3. Claims and complaints may be submitted to Mindreks Metall OÜ by e-mail at info@mindreks.ee or by telephone at +372 55539162.
14.4. If a consumer buyer and Mindreks Metall OÜ are unable to resolve a dispute by agreement, the consumer has the right to refer the dispute to the Consumer Disputes Committee operating at the Estonian Consumer Protection and Technical Regulatory Authority in accordance with applicable law.
14.5. Disputes arising from B2B transactions that the parties are unable to resolve through negotiations shall be resolved under the laws of the Republic of Estonia in Tartu County Court, unless otherwise required by applicable law.

15. Amendments to the Terms and Conditions

15.1. Mindreks Metall OÜ has the right to amend these Terms and Conditions.
15.2. As a general rule, a transaction is governed by the version of the Terms and Conditions in force at the time the order was confirmed, unless the parties have agreed otherwise in writing.
15.3. The current version of the Terms and Conditions is published on the Mindreks Metall OÜ website at www.mindreksmetall.ee.
